Below you will find the Retailer API Terms of Use. We kindly request that you read these carefully. By registering as a Retailer API user, you indicate that you accept and will comply with these Retailer API Terms of Use.

Advertiser: the natural person or legal entity entering into an agreement with bol.com for the provision of services by bol.com consisting of arranging Advertisements. For the purposes of these Terms of Use, a Professional Seller that is also an Advertiser falls exclusively within the definition of "Professional Seller".

Advertiser Account: an Advertiser account for the supplier portal in the Environment.

Advertisement(s): has the same meaning as defined in Article 1 "Advertisement(s)" of the Advertising Terms and Conditions for Advertising via bol.com.

bol.com: the private limited liability company bol.com b.v., having its registered office at Papendorpseweg 100, 3528 BJ Utrecht. Operating under VAT number: NL 807149974 B01, Chamber of Commerce Utrecht 30151222. Operating in Belgium under VAT and enterprise number: BE0824148721.

Developer Center: the bol.com portal where bol.com provides information about the Retailer API.

User(s): each Professional Seller, Advertiser or Supplier that has accepted the Terms of Use and uses the Retailer API.

Terms of Use: the Terms of Use bol.com Retailer API;

Intermediary: a third party that implements the connection between the Retailer API and the User’s system on behalf of the User.

Supplier: any natural person or legal entity that enters into an agreement with bol for the supply of products, information and/or services, or any person that supplies goods or services to bol, other than a Professional Seller or Advertiser.

Supplier Account: a Supplier account for the supplier portal in the Environment.

Limit: the maximum number of times per minute, per hour or per day that the User may call the Retailer API. The level of this limit is set out in the Developer Center.

Environment: www.bol.com, m.bol.com, e.bol.com and each and every other application designated by bol.

Retailer API: the application programming interface for Professional Sellers, Advertisers and Suppliers.

Access Keys: the strictly personal access credentials with which the User has access to the Retailer API, which are provided by bol.com to the User if the User has registered for the Retailer API and has accepted the Terms of Use. Depending on the version of the API used, the term API keys or a set of Client Credentials in the Sales Account or Supplier Account is used.

Sales Account: the account created by the Professional Seller in the Environment.

Professional Seller(s): each natural person or legal entity that meets the requirements of Article 2 of the Conditions of Use Professional Sales via bol.

2.1 In order to use the Retailer API, the User being a Professional Seller must:

2.2 After entering a technical contact person in its Sales Account, the User being a Professional Seller will be provided with a set of Access Keys with which it can connect to the Retailer API. For the User being an Advertiser, the Access Keys are received after creating a User in its Advertiser Account. For the User being a Supplier, Access Keys can only be received through an Intermediary as referred to in Article 2.4.

The User is responsible for keeping the Access Keys confidential. The User is at all times responsible and liable for all use made of the Retailer API via the Access Keys.

2.3 The User must, at its own expense and risk, implement or have implemented an application that enables a connection to be made between the User’s systems and the Retailer API. The User is permitted to use the services of an Intermediary to create this connection between the Retailer API and the User’s system.

2.4 If the User engages an Intermediary known to bol.com (as listed on the Website for Professional Sellers) to create the connection between the Retailer API and the User’s system, bol.com will, at the request of this Intermediary and after the User’s consent, provide an Access Key to the Intermediary. Use of the Access Key by the Intermediary is at the expense and risk of the User.

3.1 The User being a Professional Seller obtains the non-exclusive, non-transferable right to use the Retailer API to make the sales processes from the Sales Account, including but not limited to inventory management or order processing, available in a system of the User’s choice for the purpose of sales via the Environment. In addition, the User being a Professional Seller may use the Retailer API only for the purposes described on the Website for Professional Sellers. If the User being a Professional Seller also uses Advertisements, this User may also use the Retailer API to set up and manage Advertisements.

The User being an Advertiser obtains the non-exclusive, non-transferable right to use the Retailer API only to set up and manage Advertisements.

The User being a Supplier obtains the non-exclusive, non-transferable right to use the Retailer API only to manage product information from the Supplier Account, including but not limited to product descriptions, specifications and images, and to make such information available in a system of the User’s choice for the purpose of sales via the Environment.

The User shall comply with all guidelines and instructions of bol.com for the installation and use of the Retailer API. Use of the Retailer API by the User for purposes other than those described in this paragraph is not permitted.

3.2 The User warrants that:

3.3 If the Environment is in any way hindered, in bol.com’s opinion, by the installation and/or use of the Retailer API by the User, or if the User acts in breach of these Terms of Use, bol.com is entitled to block the use of the Retailer API with immediate effect, whether temporarily or otherwise.

3.4 bol.com determines the Limit and is entitled to amend the Limit from time to time. Exceeding the Limit may result in a temporary or other block of access to the Retailer API for the User concerned. bol.com is entitled, in the event of repeated exceedance of the Limit, to terminate the Retailer API user status with immediate effect.

3.5 The User shall fully indemnify bol.com against all damages and/or costs, including third-party claims, of whatever nature arising from the non-compliance with one or more obligations under this Article 3.

4.1 The User does not owe bol.com any fee for the use of the Retailer API.

4.2 The costs of retrieving, including internet costs, and making data available in the User’s systems are for the account of the User.

5.1 bol.com is entitled from time to time to improve or change the functionalities of the Retailer API. If a functionality is changed, bol.com will inform the User thereof, where possible, via the Developer Center.

5.2 bol.com will in principle ensure that, after adjustment of the functionalities, the Retailer API is kept "backwards compatible". This means that older versions of the Retailer API remain available and technically supported by bol.com after adjustment.

5.3 If changes to the Retailer API mean that it cannot be kept "backwards compatible", bol.com will apply a transition period during which the old version and the new version of the Retailer API are available simultaneously for at least:

During this transition period, the User must, at its own expense, ensure that it adapts its connections and/or systems to the renewed Retailer API. After expiry of the transition period, the old version of the Retailer API will no longer be available and will no longer be supported.

6.1 bol.com is at all times entitled, without giving reasons, to terminate the Retailer API user status with immediate effect and/or to block the Access Key. The User will then no longer have access to the Retailer API.

7.1 If the Retailer API user status is terminated for any reason:

7.2 The User cannot claim any compensation from bol.com in connection with the termination of the Retailer API user status by bol.com.

8.1 The User is fully responsible and liable for the use of the Retailer API, the Access Key, the development and maintenance of the Retailer API and the functioning of the Retailer API on the User’s side.

8.2 bol.com will make efforts to make the Retailer API available to the User. bol.com cannot guarantee that the Retailer API will function error-free, uninterrupted, accurately and completely. Unless there is intent and/or gross negligence on the part of bol.com, bol.com is in no way liable for damages and/or costs of whatever nature of the User in connection with the use of the Retailer API, such as, but not limited to, damages and costs resulting from the Retailer API not functioning, or not functioning properly, technical failures, incorrect information, etc.

8.3 If this full exclusion of liability is declared void by a competent court, the parties hereby agree in advance that bol.com will in that case only be liable for direct demonstrably suffered/incurred damages/costs, excluding consequential/indirect damages/costs, and that this liability for such direct damages/costs will in total never exceed €500 (in words: five hundred euros) per year.

9.1 Announcements or other communications regarding the Retailer API will be posted by bol.com on the Developer Center. The User must therefore consult the Developer Center regularly.

9.2 bol.com reserves the right to block or decommission the Retailer API without prior notice for maintenance, modification, extension, removal or otherwise to change it. In the event of planned maintenance, bol.com will make efforts to inform the User thereof on the Developer Center and will make efforts to carry out such maintenance within the times communicated on the Developer Center.

9.3 The User is not entitled to transfer all or part of its Retailer API user status to a third party, unless bol.com has given its prior written consent.

9.4 bol.com is at all times entitled to amend the Terms of Use. The User will be informed thereof by means of a notice on the Developer Center. The amended Terms of Use will take effect from the moment they are posted on the Developer Center. If the User continues to use the Retailer API thereafter, it thereby accepts the applicability of the amended Terms of Use. It is therefore advisable to consult the Terms of Use before using, or using again, the Retailer API. If the amended Terms of Use are not acceptable to the User, the User is entitled to terminate the Retailer API user status. If the User does not terminate the Retailer API user status, the User will be deemed to have accepted the amended Terms of Use.

9.5 If any provision of these Terms of Use is contrary to applicable law, that provision will be amended so that it complies with applicable law, taking into account the intent of the relevant provision.

9.6 In the event of any conflict or inconsistency between the Dutch-language version and the English-language version of these Terms of Use, the Dutch-language version shall prevail.

10.1 The Terms of Use and the Retailer API user status are governed exclusively by Dutch law.

10.2 All disputes and agreements arising from, relating to or connected with these Terms of Use will be submitted to the District Court of Midden-Nederland, location Utrecht.
